We partnered with Faz Holdings, a leading Saudi-based diversified holding company, and its Ultimate Beneficial Owner (UBO) to design and implement a comprehensive capital strategy, governance framework, and institutional structure. As the company embarked on its first structured investment journey, our role was to guide both the founder and the executive team in establishing the foundations of an investment platform built for long-term growth, accountability, and sustainability.
Client: Faz Holdings
Location: Kingdom of Saudi Arabia
Role: Institutional Structuring | Investment Policy | Financial Modeling | Board Advisory | Capital Allocation Design
Our Approach and Work
Our engagement began with a deep collaboration between the firm’s leadership, board, and UBO to ensure alignment between strategic intent and institutional discipline. We first developed a formal Investment Policy Statement (IPS) that clearly articulated the company’s investment objectives, governance principles, risk appetite, and allocation strategy. This document provided the framework for consistent decision-making and long-term capital stewardship — balancing the founder’s vision with the operational realities of an institutional investment organization.

We then built detailed financial models to project returns and stress-test capital deployment across Faz Holdings’ key focus areas, including infrastructure, the digital economy, and education. These models introduced analytical rigor into the investment process, enabling the board and UBO to evaluate opportunities based on quantifiable risk-adjusted outcomes.

At the governance level, we worked directly with the UBO and the board to create a transparent structure for accountability, decision rights, and information flow. This included formalizing board charters, defining investment committee mandates, and developing an internal reporting framework that connected strategic priorities to measurable financial performance.

Finally, we designed a capital allocation framework that balanced liquidity requirements with growth imperatives — allowing Faz Holdings to build resilience while pursuing expansion across sectors aligned with Vision 2030. The framework also served as a cornerstone for future capital raising and partnerships, establishing credibility with financial institutions and potential co-investors.
Objectives
Objective I - Create an institutional governance structure that reflects both the vision of the UBO and the discipline of a long-term investment entity.
Objective II - Establish a formal investment framework through a tailored IPS, aligning capital deployment with strategic and sectoral priorities.
Objective III - Build analytical, financial, and decision-making capacity across the board and management to support independent, data-driven execution.
Outcome and Business Impact
The partnership with Faz Holdings and its UBO resulted in the creation of a well-defined, institutional-grade investment platform with a clear governance identity and a sustainable capital strategy.
